Who needs to act
Any limited liability company, including WFOEs and joint ventures, whose articles give shareholders more than five years to pay in capital. Companies set up before 30 June 2024 must shorten their schedules by 30 June 2027, so that all capital is paid by 30 June 2032 at the latest.
Your options
- Pay in the outstanding capital on a new schedule.
- Reduce registered capital to an amount you will actually fund.
- Restructure, for example by merging entities or converting debt to equity.
What we do
We review your articles, capital verification history and balance sheet, recommend the option that fits, and then draft the resolutions, publish the creditor notices and file the changes.
Frequently asked questions
What happens if we miss the deadline?
The company can be ordered to correct its records, and shareholders and directors face liability for unpaid capital, including to creditors. Acting before the deadline keeps all options open, including a capital reduction.
Can we simply reduce registered capital?
Often, yes. A capital reduction needs a shareholder resolution, a creditor notice period and a filing with SAMR. The authorities look closely at reductions, so the paperwork has to be right first time.
