The 2027 capital deadline: which companies need to act, and how

Every Chinese limited liability company set up before 30 June 2024 with a capital schedule longer than five years must shorten it by 30 June 2027. Here is how to check whether your WFOE or JV is affected, and the three ways to fix it.

Check your articles

Open your articles of association and find the capital contribution clause. If the final payment date is after 30 June 2032, or more than five years after 1 July 2027, you need to act.

Three options

  1. Amend the schedule and pay in on time
  2. Reduce registered capital to a realistic figure
  3. Restructure the group

Start early

A capital reduction includes a creditor notice period, and SAMR reviews filings carefully. Leaving it to 2027 risks a queue. Book a capital review and we will tell you which option fits.
