What is the minimum registered capital in China?

For most companies there is no statutory minimum registered capital. But under the revised Company Law, capital must be fully paid within five years, so the figure should match what you can actually fund. Banks and some licences also expect a credible amount.

No general minimum

Most sectors have no legal minimum. Regulated businesses such as banking, insurance, some telecom and travel services have their own thresholds.

The five-year rule

Since 1 July 2024, shareholders of a limited liability company must pay in their subscribed capital within five years of incorporation. Setting a high figure “to look substantial” creates a real obligation.

How to choose

Add up your first 18–24 months of rent, salaries and working capital until the company earns revenue. Then sense-check against what your bank and any licensing authority will expect.
